The manner and mode of submission is provided under the Reporting and Disclosure (of Shareholding by Directors, executive officers and substantial shareholders in Listed companies) Regulations 2015, wherein, it is mandatory that directors, executive officer and substantial shareholder of equity securities in a listed company shall, in accordance with section 103 and 104 of the Securities Act, 2015 submit statement of beneficial ownership in Form 5 and report any subsequent change therein or position to the Commission in Form 6. Any gain made within a period of less than six months shall be reported to the Commission in Form 7, within seven day of accrual.

For authorization, you are required to first login in eservices, upload board resolution as per direction 4 of 2017, then authorize the person using "Manage company user" option available in your E-service account. Once the approval is granted, you may sign the forms using authorize person pin.

For registration of a company every director and subscriber are required to sign the process digitally. You are required to first login in eservices (first account) then add the second person using "Manage company user" option available in your E-service account. Before that, make an account on eservices for all directors including chief executive.

In case of manual incorporation of companies, applicant has to contact FBR for registration of NTN. However, in case, the company is incorporated online and NTN is not generated. The issue is forwarded to IST&D for resolution. Upon receipt of feedback from IST&D, the same is communicated to the applicant.

SECP is responsible to regulate a company as an entity to ensure that a registered company operates as per the requirements prescribed under the Companies Act, 2017. The SECP does not regulate the business/operational matters of companies, except companies licensed by SECP (e.g. NBFCs, Insurance, brokers, etc.) to the extent provided under the relevant laws.

In view of the above, matters pertaining to non-payment of dues/internal HR related matters of a company do not fall under the regulatory purview of SECP.

In Pakistan, not-for-profit organizations are working under different laws including the Societies Registration Act, 1860, the Trusts Act, 1882 and section 42 of the Companies Act, 2017 (earlier the repealed Companies Ordinance, 1984) etc.
